Allegations: THE SECURITIES AND EXCHANGE COMMISSION ("SEC") FOUND THAT INVESTMARK FAILED TO ADEQUATELY TO DISCLOSE IN ITS FORM ADV OR OTHERWISE THE CONFLICTS OF INTEREST RELATED TO ITS RECEIPT OF 12B-1 FEES AND/OR ITS SELECTION OF MUTUAL FUND SHARE CLASSES THAT PAY SUCH FEES. AS A RESULT OF THESE FINDINGS, THE SEC FOUND THAT INVESTMARK VIOLATED SECTIONS 206(2) AND 207 OF THE INVESTMENT ADVISERS ACT OF 1940. Status: Final Sanction Detail: AMOUNT IS $93,519.17 AND PREJUDGMENT INTEREST OF $9,588.67 Summary: THE SECURITIES AND EXCHANGE COMMISSION ("SEC") FOUND THAT INVESTMARK FAILED TO ADEQUATELY TO DISCLOSE IN ITS FORM ADV OR OTHERWISE THE CONFLICTS OF INTEREST RELATED TO ITS RECEIPT OF 12B-1 FEES AND/OR ITS SELECTION OF MUTUAL FUND SHARE CLASSES THAT PAY SUCH FEES.
