Terms of Service

1. Agreement and eligibility
These Terms are an agreement between you and Entropy Financial Technologies, Inc. ("AUMdb," "we," or "us"). By creating an account, purchasing a subscription, or using the service, you agree to these Terms and acknowledge our Privacy Policy. You must be at least 18 and legally able to enter a contract. If you use AUMdb for an organization, you represent that you may bind it.
2. The service and public-source data
AUMdb organizes public regulatory filings and source-linked research about investment advisers and related organizations and people. Filings may be incomplete, delayed, amended, inconsistent, or wrong. Dates describe the source record, not independent verification. You are responsible for checking source documents before relying on a material fact.
AUMdb is not investment, legal, tax, accounting, due-diligence, or compliance advice; it is not a consumer report; and it does not endorse any firm, person, security, or transaction.
3. Accounts and security
Provide accurate information, keep credentials confidential, and notify us promptly of suspected unauthorized access. Individual seats may not be shared outside your organization. We may require email confirmation, suspend compromised credentials, or limit access to protect the service and its users.
4. Paid subscriptions
Prices and billing periods are shown before purchase. Subscriptions automatically renew until canceled through the billing portal. Cancellation stops future renewals; access ordinarily continues through the paid period. Except where law requires otherwise, charges already paid are non-refundable. You are responsible for applicable taxes. We will give reasonable advance notice of material price changes.
5. Acceptable use
You may use the service for lawful business research. You may not bypass authentication, subscription controls, export limits, robots instructions, or technical safeguards; interfere with service operation; probe for vulnerabilities without written permission; resell access or data exports as a substitute database; submit malicious code; infringe rights; or use the service for unlawful discrimination, harassment, surveillance, or unsolicited communications. Public availability of a source record does not eliminate restrictions on how you may use it.
6. Your content and feedback
You retain rights in notes and other content you submit. You give us a limited license to host, process, and display that content only as needed to operate and secure the service. Do not submit information you lack authority to use. Feedback may be used without restriction or compensation.
7. Our rights and third-party services
The service, software, design, and non-public compilation methods belong to us or our licensors. These Terms do not transfer intellectual-property rights. Stripe, hosting providers, source agencies, and linked sites operate under their own terms and practices.
8. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access for material breach, fraud, security risk, unlawful conduct, nonpayment, or harm to the service or others. Provisions that by nature should survive—including payment obligations, disclaimers, liability limits, and dispute terms—continue after termination.
9. Disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that every source, profile, alert, or export is complete or current.
10. Limitation of liability
To the fullest extent permitted by law, AUMdb and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or business interruption. Our aggregate liability arising from the service will not exceed the greater of $100 or the amount you paid us during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
11. Indemnity
To the extent permitted by law, you will defend and indemnify AUMdb against third-party claims arising from your unlawful use, your submitted content, or your material breach of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of State of New Jersey, without regard to conflict-of-law rules. Courts located in Mercer County, New Jersey have exclusive jurisdiction, except where applicable law gives you another right.
13. Changes and general terms
We may update these Terms. We will post the effective date and provide additional notice for material changes when appropriate. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the service.
