Disciplinary disclosures
Allegations: THE SEC ISSUED A REQUEST FOR INFORMATION TO CAPITAL DYNAMICS, INC. ("CDI") ON DECEMBER 30, 2014. THE MATTER WAS SETTLED ON AUGUST 16, 2017, WITH CDI NEITHER ADMITTING NOR DENYING THE SEC'S FINDINGS, WHICH RELATED TO CERTAIN EXPENSES ALLOCATED TO A LEGACY FUND. MANY OF THE EXPENSES HAD BEEN IDENTIFIED DURING AN INTERNAL AUDIT THAT BEGAN IN 2014 (PRIOR TO THE SEC INQUIRY), AND WERE VOLUNTARILY REIMBURSED TO THE FUND, WITH INTEREST, IN 2015 AND 2016. CDI WAS NOT CENSURED AND IS NOT SUBJECT TO ONGOING MONITORING OBLIGATIONS. CDI AGREED TO CEASE AND DESIST FROM VIOLATING THE RELEVANT PROVISIONS OF THE INVESTMENT ADVISERS ACT OF 1940. THE ORDER DID NOT REQUIRE DISGORGEMENT BY CDI, AND ANY REIMBURSEMENTS MADE BY CDI WERE VOLUNTARY. CDI ALSO PAID A CIVIL MONETARY PENALTY OF $275,000. THE SEC ORDER ACKNOWLEDGED CDI'S COOPERATION DURING THE INVESTIGATION AS WELL AS THE REMEDIAL MEASURES TAKEN BY CDI, INCLUDING VOLUNTARY REIMBURSEMENT OF THE AFFECTED FUND.
