Allegations: IN MAY 2008, TPG-AXON MANAGEMENT LP (N/K/A AXON CAPITAL LP) (THE "ADVISER") NOTIFIED THE SFSA OF A REDUCTION BELOW 5% IN ITS HOLDING OF SHARES OF A SWEDISH ISSUER. THAT NOTIFICATION WAS MADE UNINTENTIONALLY LATER THAN THE NOTIFICATION DEADLINE SPECIFIED IN THE SWEDISH FINANCIAL INSTRUMENTS TRADING ACT. Status: Final Sanction Detail: THE SFSA IMPOSED A SPECIAL FEE OF 4,000,000 SWEDISH KRONOR (APPROXIMATELY US $553,000). THE SPECIAL FEE WAS PAID ON SEPTEMBER 14, 2009. Summary: BY LETTER DATED MARCH 13, 2009, THE ADVISER RECEIVED NOTICE THAT THE SFSA DECIDED TO IMPOSE A SPECIAL FEE OF 4,000,000 SWEDISH KRONOR (APPROXIMATELY US $553,000) FOR THE LATE NOTIFICATION. THE LATE FILING WAS THE RESULT OF AN INADVERTENT HUMAN ERROR. WHEN THE ERROR WAS DISCOVERED THE ADVISER ACTED SWIFTLY TO RECTIFY IT, AND THE ADVISER HAS IMPLEMENTED ADDITIONAL COMPLIANCE POLICIES AND PROCEDURES AND HIRED ADDITIONAL COMPLIANCE PERSONNEL TO SAFEGUARD AGAINST THIS HAPPENING AGAIN. ON MAY 20, 2009, THE DECISION BECAME LEGALLY BINDING. THE FEE NOTICE WAS DISCLOSED BY THE SFSA PUBLICLY ON ITS WEBSITE IN MARCH 2009.
