Allegations: CIVIL COMPLAINT ALLEGING VIOLATIONS OF SECTIONS 206(1), 206(2), AND 206(4) OF THE INVESTMENT ADVISERS ACT OF 1940 AND RULES 206(4)-7 AND 206(4)-8 THEREUNDER. THE SEC PRIMARY ALLEGATION IS THAT TZP DID NOT PROPERLY APPLY MANAGEMENT FEE OFFSETS TO ROLLOVER INVESTORS. TZP DISPUTES THE ALLEGATION THAT MANAGEMENT FEE OFFSETS SHOULD NOT APPLY TO ROLLOVER INVESTORS AND INTENDS TO CONTEST ANY PROPOSED ENFORCEMENT ACTION.
