Allegations: ON OR ABOUT 4/22/2004, THE SEC FILED A CIVIL ACTION AGAINST MS ALLEGING ONE COUNT OF INSIDER TRADINGRELATED TO SINGLE TRADE IN THE SHARES OF C-CUBE MICROSYSTEMS ON MARCH 2, 2001 FOR THE ACCOUNT OF HISFATHER PHIL SACKS. MR. SACKS DENIED THE ALLEGATION OF INSIDER TRADING. Status: Final Sanction Detail: ON JANUARY 3, 2011, A CONSENT JUDGMENT WAS ENTERED IN THE U.S. DISTRICT COURT FOR THE DISTRICT OFNEW JERSEY IN WHICH MR. SACKS CONSENTED TO THE ENTRY OF A PERMANENT INJUNCTION AGAINST FUTURESECURITIES VIOLATIONS IN CONNECTION WITH THE 2001 PURCHASE OF C-CUBE SHARES AND ALSO AGREED TODISGORGE HIS PROFITS OF $115,155 PLUS $85,919.62 IN PREJUDGMENT INTEREST AND TO PAY A CIVIL PENALTYOF $115,155. MR. SACKS MADE THESE PAYMENTS IN JANUARY OF 2011. MR. SACKS NEITHER ADMITTED NORDENIED LIABILITY IN CONNECTION WITH THE CONSENT JUDGMENT.
