Summary: ROSE PARK LEARNED OF ITS OVERSIGHT IN NOT FILING FORM PF AND, AFTER NOTICE OF ADMINISTRATIVE PROCEEDINGS, FULLY COOPERATED AND OFFERED TO SETTLE THE PROCEEDINGS. AFTER REVIEW OF REMEDIAL ACTIONS PROMPTLY TAKEN BY ROSE PARK AND OF ROSE PARK'S FULL COOPERATION, THE SEC ACCEPTED THE TERMS OF SETTLEMENT.
