Allegations: THE SEC ALLEGED THAT, FROM 2019 THROUGH 2022, REGISTRANT'S WRITTEN POLICIES AND PROCEDURES REGARDING THE PREVENTION OF MISUSE OF POTENTIALLY MATERIAL NONPUBLIC INFORMATION AND TO PREVENT POTENTIALLY MISLEADING COMMUNICATIONS TO CURRENT AND PROSPECTIVE INVESTORS IN PRIVATELY-OFFERED, PRIVATE-EQUITY FUNDS THAT THE REGISTRANT ADVISES WERE NOT SUFFICIENTLY IMPLEMENTED AND ENFORCED IN CERTAIN CIRCUMSTANCES. PURSUANT TO AN OFFER OF SETTLEMENT, THE SEC FOUND, AND THE REGISTRANT NEITHER ADMITTED NOR DENIED, THAT THE REGISTRANT VIOLATED SECTIONS 204A AND 206(4) OF THE INVESTMENT ADVISERS ACT OF 1940 AND RULE 206(4)-7 THEREUNDER. Status: Final Sanction Detail: THE ORDER IMPOSES A CIVIL PENALTY OF $4 MILLION TO BE PAID WITHIN 14 DAYS OF THE ORDER. Summary: THE SEC ADMINISTRATIVE ORDER IS FINAL.
