SECTION 2.A.(9) Investment Adviser Expecting to be Eligible for Commission Registration within 120 Days

DURING THE PERIOD WHERE TWO GARRETT AGENTS WHERE REPEATEDLY REGISTERED UNDER HEIGHTENED SUPERVISORY AGREEMENTS WHICH
EXPLICITLY PROHIBITED THE SHARING OF COMMISSIONS, GARRETT FAILED TO COMPLY WITH THE TERMS OF THE SUPERVISORY AGREEMENT
BECAUSE COMMISSIONS WERE APPORTIONED OR PAID TO THE THE TWO AGENTS BASED ON ACTIVITY IN NEW JERSEY CLIENT ACCOUNTS. ALL
THREE AGREEMENTS STATE THAT "[F]AILURE TO COMPLY WITH THIS AGREEMENT SHALL BE DEEMED TO BE A VIOLATION OF N.J.A.C. 13:47A-

SECOND AGREEMENT WAS SIGNED. COMMISSIONS IN CONTRAVENTION OF THE HEIGHTENED SUPERVISION AGREEMENTS ALSO WERE
APPARENTLY DISCOVERED IN JULY 2011, BUT AFTER WITHHOLDING COMMISSIONS AT THAT TIME, THE PRACTICE CONTINUED UNTIL
COMMISSIONS WERE WITHHELD AGAIN RELATING TO THE MONTH END OCTOBER 2011 REVIEW.
