Allegations: ON APRIL 18, 2023, BETTERMENT, WITHOUT ADMITTING OR DENYING THE FINDINGS, ENTERED INTO A SETTLEMENT ORDER WITH SECURITIES AND EXCHANGE COMMISSION ("SEC") RELATING TO ALLEGED MATERIAL MISSTATEMENTS AND OMISSIONS CONCERNING BETTERMENT'S AUTOMATED TAX-LOSS HARVESTING SERVICE AND FAILURE TO ADEQUATELY NOTIFY CLIENTS CONCERNING CERTAIN CHANGES TO ITS ADVISORY CONTRACTS. THE SEC ALSO ALLEGED THAT CERTAIN OF BETTERMENT'S BOOKS AND RECORDS AND POLICIES AND PROCEDURES WERE NOT ADEQUATE. A COPY OF THE SETTLEMENT ORDER IS AVAILABLE ON THE SEC'S WEBSITE AT WWW.SEC.GOV. Status: Final Sanction Detail: $9,000,000 WAS PAID ON APRIL 25, 2023. Summary: THE SEC ADMINISTRATIVE ORDER IS FINAL AND THE CIVIL MONETARY PENALTY WAS PAID INTO THE ESCROW ACCOUNT WITHIN 10 DAYS OF THE ENTRY OF THE ORDER. BEGINNING ON DECEMBER 1, 2023, BETTERMENT DISBURSED ALL AMOUNTS PAYABLE TO AFFECTED ADVISORY CLIENTS.
